Important consumer-rights notice: These terms include NProject's commercial booking rules. They do not remove or restrict any rights that a consumer has under applicable law. Statutory rights take priority where they provide greater protection.
1. About NProject and these terms
These Training Terms and Conditions apply to training supplied by NProject, registered in England and Wales, whose registered office is 3rd Floor, 207 Regent Street, London, England, W1B 3HH ("NProject","we", "us" or "our"). You can contact us at hello@nproject.co.uk.
They apply to instructor-led classroom training, instructor-led live online training and self-paced learning purchased directly from NProject. A separate written proposal, order form or corporate agreement may add to or vary these terms. If there is a conflict, the signed or expressly accepted written agreement takes priority for that booking.
A person who buys wholly or mainly outside their trade, business, craft or profession is a "Consumer". Any other customer is a "Business Customer". A "Participant" is the individual attending or accessing the training, whether or not that person paid for it.
2. Course information and contract formation
Course descriptions, dates, delivery method, price, included materials, prerequisites and any material limitations will be shown on the relevant web page, proposal, quotation or booking page before the booking is completed.
A booking request is an offer to purchase training. A binding contract is formed when NProject sends a booking confirmation or otherwise confirms acceptance in writing. We may decline a booking before acceptance, including where a course is full, prerequisites are not met, payment cannot be verified or an obvious pricing or description error has occurred.
The customer must ensure that names, contact details, course selections, accessibility requests and invoice information are accurate. A person making a booking for another Participant confirms that they are authorised to do so and will provide the Participant with these terms and relevant privacy information.
3. Prices, VAT and payment
The total price and any VAT, delivery charge, examination voucher, third-party kit or other mandatory cost will be stated before the customer commits to the booking. Consumer-facing prices will include VAT where required. Business quotations may state VAT separately.
Payment is due as stated at checkout, on the invoice or in the accepted proposal. NProject may suspend course access, withhold joining instructions or decline attendance where payment remains overdue, provided that doing so is lawful and proportionate.
Optional extras will not be charged unless the customer expressly agrees to them. Where a price is clearly incorrect and a reasonable customer would have recognised the error, NProject may cancel the affected booking and refund all sums paid.
4. Participant responsibilities and course completion
· Attend punctually and participate for the required course hours.
· Complete any clearly identified pre-course work, portal activities, practice questions, assessments and attendance verification.
· Use course access, logins andmaterials only for the registered Participant and not share them with others.
· Comply with reasonable instructions, health and safety requirements, online-platform rules and theLearner Code of Conduct.
· Provide a suitable device, stable internet connection, audio capability and software for live online orself-paced courses, unless NProject has agreed to provide them.
· Check independent certificationeligibility requirements and application deadlines.
A certificate of completion, contact-hour record or professional-development record may be withheld until the Participant has completed the stated attendance and course requirements. NProject does not control or guarantee a certification body's application, audit, examination, scoring, scheduling or certification decision.
5. Consumer cancellation rights for distance andoff-premises bookings
This section applies only to Consumers who enter into a contract online, by telephone, by email or away from NProject's business premises. It does not apply to Business Customers.
A Consumer normally has 14 calendar daysfrom the day after the contract is made to cancel without giving a reason. To cancel, the Consumer must send a clear statement to NProject by email or post. The model form in Schedule 1 may be used but is not compulsory.
If the Consumer asks NProject to begin aservice during the 14-day cancellation period and then cancels before the service is fully performed, NProject may charge a proportionate amount for the service supplied up to cancellation. The right to cancel is lost once the service has been fully performed only where the Consumer expressly requested early performance and acknowledged that the right would be lost on full performance.
For digital content supplied without aphysical medium, such as downloadable materials or immediate self-paced access, the Consumer will lose the 14-day cancellation right once supply begins only where the Consumer expressly consented to immediate supply and acknowledged the loss of the right. If those steps are not completed correctly, the statutory cancellation right is not displaced.
Where a valid statutory cancellation is made, NProject will refund the sums due without undue delay and no later than 14 calendar days after being informed of the cancellation, using the original payment method unless another method is expressly agreed. NProject will not charge a refund fee.
6. NProject commercial cancellation policy for live training
How this section works
The table below is an additional commercial policy for change-of-mind cancellations. It does not reduce a Consumer's statutory cancellation or service-quality rights. Any amount retained will not exceed NProject's reasonable net loss directly caused by the cancellation.
The percentages are maximum charges, not penalties. NProject will take reasonable steps to reduce its loss, including offering the place to another customer where practicable. If the amount retained would exceed NProject's reasonable net loss after avoided costs and any resale are taken into account, the excess will be refunded.
The "eligible course fee" meansthe amount paid for the affected training place, including applicable VAT, but excluding any third-party item that was separately identified before purchase and has already been irreversibly supplied or allocated, such as a non-refundable examination voucher or personalised licensed material. NProject will explain any deduction on request.
A Participant who has attended any part ofa live course is not entitled to an automatic change-of-mind refund under this commercial policy. This does not affect statutory remedies where the service was not supplied with reasonable care and skill or as agreed.
7. Rescheduling and substitutions
A Participant may request one transfer to another available NProject session without an administration fee if the requestis received at least 48 hours before the original scheduled start. The replacement session must normally begin within six months of the original course date, and any increase in course price must be paid before attendance.
A transfer is subject to availability andis not effective until confirmed by NProject. Further transfers, transfers requested less than 48 hours before the start, or transfers outside the six-month period may be refused or may carry a reasonable charge reflecting NProject's resulting costs and losses.
If a transferred booking is later cancelled, any commercial refund will be calculated by reference to theoriginal course start date and the original amount paid, unless applicable law requires a different result. This prevents a transfer being used to reset a cancellation deadline. Statutory rights and cancellation caused by NProject remain unaffected.
A Business Customer may nominate a substitute Participant for the same course, subject to prerequisites, identity checks, licensing restrictions and reasonable notice. Consumer substitutions are considered on request.
8. Cancellation, rescheduling or changes by NProject
NProject may make reasonable changes to atrainer, timetable, venue, platform or course sequence where necessary, provided that the essential nature and value of the course are not materially reduced.
NProject may cancel or materially reschedule a course because of insufficient enrolment, trainer illness, venue or platform failure, safety concerns, legal or accreditation requirements, or circumstances beyond reasonable control. We will notify affected customers as soon as reasonably practicable.
Where NProject cancels a course and does not provide an equivalent replacement acceptable to the customer, the customer may choose a transfer, credit or refund of the affected course fee. WhereNProject makes a material change to the date, location or delivery method and the Participant cannot reasonably attend, the same options will be offered.
NProject is not responsible for avoidable travel, accommodation or other arrangements booked before a course is confirmed, or for costs that could reasonably have been reduced by using flexible or refundable bookings. This does not exclude liability that cannot lawfully be excluded or losses that NProject must compensate under applicable law.
9. Self-paced learning
Self-paced courses are digital content and/or digital services. Access periods, technical requirements and included materials will be stated before purchase.
Where a Consumer has not consented to immediate supply, access will not begin until the 14-day statutory cancellation period ends. Where the Consumer requests immediate access and acknowledges loss of the cancellation right, the statutory right is lost when supply begins inaccordance with the law.
As an additional commercial concession, NProject may approve a change-of-mind refund requested within 48 hours ofpurchase where no more than 10% of the course has been accessed, no substantial material has been downloaded, no assessment has been submitted and no certificate has been issued. This concession is discretionary and does not limit statutory rights.
If self-paced content is faulty, unavailable for an unreasonable period, materially different from its description or otherwise fails to meet statutory standards, NProject will provide the remedy required by law, which may include repair, replacement, repeat performance or an appropriate price reduction.
10. PMP Exam Pass Money-Back Guarantee
Nature of the guarantee
This is a conditional promise to refund eligible NProject course tuition after three unsuccessful PMP examination attempts. It is not a promise that any Participant will pass, and it is separate from statutory rights.
The guarantee applies only where the relevant instructor-led PMP Exam Preparation Course was expressly advertised and confirmed as including the guarantee at the time of booking. Full conditions are in Schedule 3 and must be made available before purchase.
PMI determines PMP eligibility, examination administration, scheduling, security, scoring and certification. NProject cannot control those matters. The guarantee does not cover PMI membership fees, application fees, examination or re-examination fees, travel, accommodation, lost earnings or separately itemised third-party products.
11. Course quality and statutory remedies
NProject will provide training with reasonable care and skill and in accordance with material information supplied before the contract. If a Consumer believes that the service does not meet these standards, they should contact NProject promptly and use the Customer Complaints and Resolution Policy.
Where required by law, NProject will provide repeat performance within a reasonable time and without significant inconvenience, or an appropriate price reduction where repeat performance is impossible or cannot be provided within a reasonable time without significant inconvenience. A price reduction may be up to the full affected price in an appropriate case.
12. Conduct, safety and removal
Participants must behave respectfully andmust not harass others, disrupt training, misuse systems, infringe intellectual property, share confidential information, record a session without permission, impersonate another person or engage in examination or academic misconduct.
NProject may issue a warning, restrict participation or remove a Participant where reasonably necessary to protect people, systems, confidential information, course integrity or the rights of others. Except in serious or urgent cases, NProject will normally explain the concern and give a reasonable opportunity to correct the behaviour.
Any refund following removal will be assessed fairly by reference to the reason for removal, the service already received, NProject's loss and applicable law. Removal does not automatically remove a Consumer's statutory rights.
13. Intellectual property and permitted use
Course materials are owned by NProject, PMI, GPM or another identified licensor. Payment grants the registered Participant a personal, limited, non-exclusive and non-transferable licence touse the materials for private study and professional development during any stated access period.
Materials may not be copied, sold,uploaded, shared, recorded, translated, adapted, used to trainartificial-intelligence systems, or used to deliver competing training without prior written permission, except to the limited extent permitted by law.
14. Accessibility and reasonable adjustments
NProject welcomes requests for reasonable adjustments. Participants should contact us as early as possible so that requirements can be discussed. We may request information reasonably necessary to understand and arrange an adjustment, and will handle that information inaccordance with our Privacy Policy.
Adjustments relating to a PMI examination must be requested from and approved by PMI under its own procedures. NProject can provide reasonable assistance but cannot approve examination accommodations.
15. Liability
Nothing in these terms excludes or limitsliability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of statutory rights that cannot lawfully be excluded, or any other liability that the law does not permit NProject to exclude or limit.
For Consumers, NProject is responsible forlosses that are a foreseeable result of NProject's breach of contract or failure to use reasonable care and skill. NProject is not responsible for business losses suffered by a Consumer, or for losses that were not foreseeable, were caused by inaccurate information supplied by the customer, orcould reasonably have been avoided.
For Business Customers, subject to the previous paragraph and any signed agreement, NProject will not be liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, goodwill or anticipated savings. NProject's total aggregate liability arising from a booking will not exceed 100% of the fees paid or payable for the affected course, except where a higher limit is required by law. These business limitations apply only to the extent that they are reasonable and enforceable.
16. Events beyond reasonable control
Neither party is responsible for delay or failure caused by events beyond its reasonable control, provided that the affected party takes reasonable steps to minimise the impact. If such an event prevents NProject from delivering a material part of the course within areasonable period, the customer may end the affected part of the contract and receive a refund for services not supplied.
17. Personal information
NProject processes personal information inaccordance with its Privacy Policy. Information may be shared with trainers, platforms, corporate sponsors, payment providers, accreditation or certification bodies and other recipients where necessary and lawful. Corporatecustomers must ensure that they have a lawful basis for providing Participant information to NProject.
18. Complaints and dispute resolution
Questions, cancellations and complaints should be sent to hello@nproject.co.uk. Complaints are handled under NProject's Customer Complaints and Resolution Policy. A final internal response does not restrict any statutory right or lawful remedy.
Where a complaint concerns PMI content,contact hours or ATP compliance, the customer may also use the appropriate PMI support route after NProject's internal process. NProject will cooperate with any valid PMI review, subject to confidentiality and data-protection requirements.
19. Changes to these terms
The terms that apply are those accepted when the booking is made. NProject may update terms for future bookings. We will not retrospectively make a material change that disadvantages an existing customer unless the change is required by law, a regulator or an accreditation body and is implemented fairly.
20. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. A Consumer resident in another part of the United Kingdom retains any mandatory protection available under the law of their home jurisdiction and may bring proceedings in the courts available to them under applicable law. Business Customers submit to the exclusive jurisdiction of the courts of England and Wales unless a signed agreement states otherwise.

Schedule 2 - Refund and rescheduling summary
This schedule is a convenient summary. Sections 5 to 9 of these terms contain the full rules and take priority if the summary is incomplete.
Schedule 3 - PMP Exam Pass Money-Back Guarantee
Prominent summary
Complete an eligible NProject instructor-led PMP Exam Preparation Course and meet every condition below. If you then make three valid PMP examination attempts within 120 calendar days after the course ends and do not pass, NProject will refund 100% of the eligible course tuition paid to NProject. The guarantee does not promise that you will pass and does not cover PMI examination fees or other excluded costs.
A. Eligibility
· The booking confirmation expressly states that the course includes this guarantee.
· The Participant is the name dattendee and the eligible course tuition has been paid in full.
· The Participant attends theentire course and completes any approved make-up session for unavoidable absence before the first examination attempt.
· Before the first examination attempt, the Participant completes every practice examination, assignment and portal responsibility identified in the guarantee checklist supplied with the booking confirmation and receives the Certificate of Completion.
· The Participant meets PMI's eligibility requirements, submits accurate information, complies with PMI and test-provider rules, and personally sits each examination attempt.
· All three unsuccessful PMPexamination attempts take place within 120 calendar days after the eligible NProject course concludes.
· After each unsuccessful attempt, the Participant notifies NProject within five business days, provides the official result evidence requested and completes any reasonable remedial study activity identified in the original guarantee checklist before the next attempt.
· The third-attempt claim issubmitted within 30 calendar days after the third unsuccessful attempt.
If a documented PMI or authorised test-centre cancellation, system failure or lack of appointment availability outside the Participant's reasonable control makes the 120-day condition impossible, NProject will extend the period by a reasonable amount. The Participant must notify NProject promptly and provide supporting evidence.
B. What must be submitted with a claim
· Booking confirmation and proofof payment.
· Certificate of Completion.
· Official evidence of the date and unsuccessful result for each of the three attempts.
· Evidence that the guarantee checklist and required remedial activities were completed.
· The Participant's current contact and refund-payment details where reasonably required.
C. Refund amount and payment
A valid claim receives 100% of the eligiblecourse tuition actually paid to NProject for the guaranteed course, including the VAT attributable to that tuition where applicable.
The refund does not include PMI membership,application, examination or re-examination fees; travel or accommodation; lost income; interest or finance charges; separately itemised examination vouchers; separately itemised licensed materials or third-party products that have been supplied; or any other course or service.
NProject will decide a complete claim fairly and notify the Participant in writing. An approved refund will be made promptly and normally within 14 calendar days using the original payment method where practicable.
D. Exclusions
· The guarantee does not apply where an examination result is cancelled, withheld or invalidated because of misconduct, identity issues, rule breaches, payment reversal or inaccurate application information.
· The guarantee does not apply where the Participant does not complete the conditions above, misses a required deadline without an agreed extension, or refuses to provide reasonable evidence needed to verify the claim.
· The guarantee is personal tothe named Participant and cannot be transferred, assigned or exchanged for credit.
· Only one guarantee refund maybe claimed for the same Participant and certification examination.
E. Relationship with PMI and statutory rights
PMI is independent of NProject and determines certification eligibility, examination content, administration, scoring and results. NProject's guarantee is offered by NProject alone and is not a PMI guarantee.
This commercial guarantee is additional to, and does not replace or restrict, any statutory rights relating to cancellation, digital content or the quality of training services.
